Please read these terms carefully before using our services or website. Engaging with Flixifys constitutes acceptance of these terms.
Agreement to Terms
By accessing our website flixifys.com and engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services or website.
These terms constitute a legally binding agreement between you ("Client") and Flixifys ("Company," "We," "Us," or "Our"). We reserve the right to update these terms at any time, and continued use of our services after changes constitutes acceptance of the revised terms.
Services Description
Flixifys provides Shopify-based ecommerce services including but not limited to:
- Shopify store design and theme customization
- Custom Shopify development (Liquid, HTML, CSS, JavaScript)
- Page speed optimization and performance auditing
- Mobile-first responsive design and optimization
- Platform migration (WooCommerce, Magento, Custom to Shopify)
- Third-party app integration and configuration
- Ongoing maintenance, support, and store management
- Conversion rate optimization and UX consulting
The specific scope of services for each project will be outlined in a separate proposal or Statement of Work (SOW) agreed upon by both parties before work commences.
Project Process & Timeline
Our standard project workflow includes Discovery, Design, Development, Testing, and Launch phases. Timelines for each project are estimated based on scope complexity and will be communicated in the project proposal.
Timelines are estimates and may be affected by:
- Delays in providing required assets, content, or feedback from the Client
- Scope changes requested after project commencement
- Third-party service outages or API limitations
- Unforeseen technical complexities
Payments & Refunds
Payment terms are specific to each project and will be detailed in the project proposal. Standard payment structures include:
- 50% Advance: Due before project commencement to secure your slot and begin work
- 50% Final: Due upon project completion, before final file handover or store transfer
- Milestone Payments: For larger projects, payments may be split across defined milestones
Payments can be made via bank transfer, UPI, or other methods agreed upon. Invoices will be provided for all transactions.
Refund Policy
Since our services involve customized, digital work created specifically for each Client, refunds are generally not applicable once work has commenced. However, we will work with you to resolve any concerns. Refund requests must be submitted within 7 days of the relevant payment and will be evaluated on a case-by-case basis.
Intellectual Property
Upon full payment completion, the Client receives ownership of the final deliverables created specifically for their project, including:
- Custom-designed layouts and visual elements
- Custom-coded features and functionality
- Configured store settings and integrations
The following remain the property of Flixifys:
- Underlying code frameworks, libraries, and reusable components
- Proprietary tools, processes, and methodologies
- Pre-built templates or design systems not created specifically for the Client
Third-party assets (stock photos, fonts, plugins) are subject to their respective license terms. We ensure all third-party assets used are properly licensed for commercial use.
Client Responsibilities
To ensure smooth project delivery, the Client agrees to:
- Provide all required content, assets, brand guidelines, and access credentials in a timely manner
- Respond to review requests and provide feedback within agreed timeframes
- Ensure all provided content (text, images, videos) does not infringe on third-party rights
- Maintain an active Shopify account and necessary app subscriptions
- Review and approve deliverables at each stage before proceeding
Limitation of Liability
Flixifys provides services on a best-effort basis. To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential damages arising from the use of our services
- Our total liability shall not exceed the total amount paid by the Client for the specific project in question
- We are not responsible for third-party service outages (Shopify, payment gateways, apps, hosting providers)
- We are not liable for business outcomes, revenue changes, or results that depend on factors outside our control
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This includes but is not limited to:
- Business strategies, plans, and financial information
- Customer data and analytics
- Technical specifications and proprietary code
- Design concepts and unreleased product information
This confidentiality obligation survives the termination of the agreement for a period of 2 years. We may use anonymized project descriptions and non-confidential deliverables in our portfolio unless explicitly requested otherwise in writing.
Termination
Either party may terminate the engagement under the following conditions:
- By Client: Written notice with 7 days' notice period. Work completed up to termination date must be paid for. No refund for work already delivered.
- By Flixifys: If the Client fails to provide required inputs, make payments, or respond to communications for 14 consecutive days, we may terminate the project with written notice.
- For Cause: Either party may terminate immediately if the other party materially breaches these terms and fails to cure the breach within 7 days of receiving written notice.
Upon termination, the Client will receive all completed deliverables for which payment has been made.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in India.
We encourage resolving any disputes through direct communication first. If a resolution cannot be reached, parties agree to attempt mediation before pursuing legal action.
